WINNER WILL BE REQUIRED TO PARTICIPATE IN THE PRIZE FULFILLMENT PROCESS AND/OR SIGN DOCUMENTATION, SUCH AS A RELEASE, WITHIN SEVEN (7) DAYS, AS MORE FULLY DETAILED BELOW.
The LifeCoach Research Sweepstakes ("Sweepstakes”) is sponsored by Trooly, Inc. 300 Third St, Suite 2 Los Altos, CA 94022 ("Sponsor"). The Sweepstakes begins at 12:00:00 a.m. Pacific Time ("PT") on the first day of the current calendar month and ends at 11:59:59 p.m. PT on the last day of the current calendar month ("Sweepstakes Period"). For example, and without limiting the foregoing, if this Sweepstakes is offered during June 2016, it will begin at 12:00:00 a.m. PT on June 1, 2016, and will end at 11:59:59 p.m. PT on June 30, 2016. Sponsor may run similar, consecutive sweepstakes that include this one as part of a larger promotion (“Promotion”). Entry into this Sweepstakes does not constitute entry into any other, similar sweepstakes offered by Sponsor. During the Sweepstakes Period, eligible individuals may enter the Sweepstakes by completing part or all of a survey, as described in the "To Enter" section below. One (1) potential grand-prize winner will be selected from among all eligible entries in a random drawing following the conclusion of the Sweepstakes Period, as more fully described below.
Sponsor may offer a giveaway to users of the Sweepstakes Site (defined below) who complete a survey. Such a giveaway offer is separate from this Sweepstakes and is governed by its own offer terms (as set forth on the Sweepstakes Site), and not by these Official Rules.
This Sweepstakes is open only to individuals who are legal residents of any one (1) of the (50) United States or the District of Columbia (the "Territory") and who are at least eighteen (18) years old and the age of majority under applicable law in their state or jurisdiction of primary residence on the date of entry into this Sweepstakes Employees, officers, directors, members, managers, agents, and representatives of Sponsor, Milliways Inc, Amazon Inc, Bain Capital Ventures, their respective parent and subsidiary companies, affiliates, divisions, franchisees, representatives, consultants, sub-contractors, suppliers, distributors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies (collectively the "Released Parties") and members of their immediate families (defined for these purposes as including spouse, partner, parents, legal guardians, children, and siblings and each of their respective spouses) and individuals living in the same household as such individuals, are not eligible.
During the Sweepstakes Period, eligible individuals may enter the Sweepstakes by visiting www.lifecoachresearch.com (the "Sweepstakes Site") and following the on-screen links and instructions to complete and submit an entry survey (or a qualifying portion thereof, as further described below. The survey is divided into two main stages: an “Initial Stage” and a “Secondary Stage,” and are further subdivided into parts, with each part occupying a single web page. Eligible participants may earn entries into the Sweepstakes during the Sweepstakes Period by completing and submitting one or more sections of the survey, including answering all required questions and providing all required information, including his or her full name, email address, telephone number, and date of birth. The number of entries available for completing a particular section of the survey will be as described on the Sweepstakes Site. Entrants must complete and submit at least one section of a survey to earn a Sweepstakes entry; incomplete submissions will not earn an entry. For purposes of this Sweepstakes, an entry is earned only when the Sweepstakes Site’s servers record the submission of an entrant’s completed survey section with all required information. In order to earn an entry into the Sweepstakes, a survey section must be submitted during the Sweepstakes Period, through the Sweepstakes Site, and in strict accordance with the instructions and restrictions in these Official Rules and on the Sweepstakes Site.
All survey respondents are presented with the same Initial Stage. Following successful completion of the Initial Stage, participants may choose from among three options for the Secondary Stage. ELIGIBLE PARTICIPANTS MAY COMPLETE A MAXIMUM OF THREE (3) SURVEYS – ONE FOR EACH OF THE THREE (3) SECONDARY STAGES OFFERED – AND THEREBY EARN A MAXIMUM OF SEVENTY-SEVEN (77) ENTRIES PER PERSON AND PER EMAIL ADDRESS DURING THE ENTIRE PROMOTION. By way of example and without limiting the foregoing, if an eligible entrant participated in the Promotion for the first time during this Sweepstakes and completed two surveys during the Sweepstakes Period (each time choosing a separate Secondary Stage), then (s)he would be eligible to complete the survey one additional time during a subsequent sweepstakes offered as part of the Promotion (if any), provided that (s)he elected the third Secondary Stage. However, if (s)he completed the survey three times during the Sweepstakes Period, she would not be eligible to participate in any future sweepstakes offered as part of the Promotion. Attempts made by an individual to submit surveys or earn entries in excess of the above-stated limits or otherwise in violation of these Official Rules by using multiple or false contact information or otherwise may be disqualified. Purported survey submissions that are forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, unintelligible, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. Proof of submitting a survey or any section of a survey (such as, without limitation, a printed, saved or copied automated receipt confirming submission or a “thanks for entering” screen or message) does not constitute proof of actual submission of a survey (or section therefor) or of earning of a Sweepstakes entry for purposes of this Sweepstakes. All surveys submitted become the sole property of Sponsor and will neither be acknowledged nor returned. The Sweepstakes Site’s database clock will be the official timekeeper for entry into this Sweepstakes. Those who do not provide the required information in their survey or abide by these Official Rules and other instructions of Sponsor and its representatives may, in Sponsor’s sole discretion, be disqualified and all associated entries void. Surveys submitted or participation made on your behalf by any other individual, made by any entity or group, or originating at any web site or online service other than the Sweepstakes Site, including, without limitation, through commercial promotion subscription, notification, or entering services, will be declared invalid and disqualified for this Sweepstakes. As a condition of entering the Sweepstakes, without limiting any other provision in these Official Rules, each entrant gives consent for Sponsor and its agents to obtain and deliver his or her name, address, and other information and content to third parties for the purpose of administering this Sweepstakes and complying with applicable laws, regulations, and rules.
The winner of the prize detailed in the "Prize, Odds, and Approximate Retail Value" section below will be selected in a random drawing from among all eligible entries received, subject to verification. The drawings will be held on or about 3 business days after the end of the Sweepstakes Period. Within approximately 14 business days after the selection of the potential winner, Sponsor or its designee will attempt to notify each potential winner that he or she may have won a prize by email or using other contact information provided for entry in Sponsor’s sole discretion. In addition, a potential winner’s name and his or her city and state or other general information may be posted on the Sweepstakes Site, a Sponsor web site, or elsewhere publicly in Sponsor’s sole discretion.
Prize or prize elements will only be mailed, where applicable, to winner’s address in the Territory. If any prize, prize notification, or Sweepstakes-related communication is rejected, faulty, or undeliverable; if the potential winner does not respond according to the notification’s or Sponsor’s instructions; or if the winner or potential winner fails to comply with these Official Rules, the prize may, in Sponsor’s sole discretion, be forfeited and an alternate winner may be selected (time permitting) based on the original method of winner selection or other method that is deemed fair in Sponsor’s sole discretion. Sponsor is not obligated to pursue more than three (3) alternate winners for any prize for any reason, in which case such prize may go unawarded. Sponsor reserves the right to modify the notification procedures and applicable deadlines for responding in connection with the selection of any alternate potential winner, if any. If a prize is legitimately claimed, it will be awarded. Upon prize forfeiture or inability to use a prize or portion thereof, no compensation will be given and Sponsor will have no responsibility or liability to that participant. To claim a prize, winner must follow the directions in his or her notification. As a condition of being awarded any prize, each winner may be required, in Sponsor’s sole discretion, to complete and return a W-9 form to Sponsor. Each winner may also, in Sponsor’s sole discretion, be required to complete, sign, notarize (if applicable), and return, without alteration and in the form presented by Sponsor, an affidavit of eligibility and liability/publicity release and tax forms (as applicable) (collectively, the "Winner Documents") according to Sponsor's instructions within seven (7) days from when Sponsor sends the Winner Documents or other time frame as specified by Sponsor or its representative. Failure to comply with these requirements, Sponsor's or its representative’s instructions, or these Official Rules may, in Sponsor’s sole discretion, result in disqualification from the Sweepstakes and forfeiture of any prize potentially won. The Winner Documents, if required, are each subject to verification by Sponsor and may require the participant to provide his or her Social Security Number and/or a copy of government-issued identification card or number therefrom. Federal IRS 1099-MISC forms may be issued as appropriate in Sponsor's sole discretion. Decisions of the Sponsor are final on all matters relating to the Sweepstakes, including interpretation of these Official Rules, acceptance or rejection of surveys and related Sweepstakes entries, determining the winners, and awarding of the prizes.
PRIZE, ODDS & APPROXIMATE RETAIL VALUE (“ARV”)
One (1) grand-prize winner, subject to verification, will receive a prize, which consists solely of one (1) twenty-five-hundred dollar ($2500) Amazon.com gift card. Odds of winning a prize depend on the number of eligible entries received. Total ARV of all prizes:$2500.
Each Amazon.com gift card is subject to the terms and conditions of the issuer ("Terms"). Card valid only at Amazon.com with a valid account. The card is nonrefundable and not redeemable for cash except as set forth in the Terms and where required by law. Sponsor is not responsible if a card is damaged, lost, or stolen. Void where prohibited by law.
All prize details not specifically stated in these Official Rules will be determined by Sponsor in its sole discretion. All taxes (national/federal, state/provincial/territorial, and local), as well as any expenses not specified in these Official Rules as being provided as part of the prize, are the sole responsibility of winner. Sponsor is not responsible for and will not replace any lost, mutilated, or stolen prize, or any prize that is undeliverable or does not reach a winner because of incorrect or changed contact information. If winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize. Sponsor is not responsible for any inability of any winner to accept or use any prize (or portion thereof) for any reason. Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of a prize, except with Sponsor’s permission, which may be granted or withheld for any reason in its sole discretion. No transfers, prize substitutions or cash redemptions will be made, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute the stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including, without limitation, prize unavailability. No more than the stated prizes will be awarded. Participants waive the right to assert as a cost of winning any prize, any and all costs of verification and redemption or travel to claim the prize and any liability and publicity which might arise from claiming or seeking to claim said prize.
LIMITATION OF LIABILITY
EACH ENTRANT AGREES TO RELEASE, HOLD HARMLESS, AND INDEMNIFY EACH OF THE RELEASED PARTIES FROM AND AGAINST ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE ACCEPTANCE, USE, MISUSE, OR AWARDING OF THE PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY PRIZE- OR SWEEPSTAKES-RELATED ACTIVITY INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, LOSS, DEATH OR ACCIDENT TO PERSON OR PROPERTY. WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS: "CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."
Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the entrant, or by human error: surveys or entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program) or surveys submitted or entries earned in excess of any stated limit; any lost, late, incomplete, illegible, unintelligible, garbled, mutilated, or misdirected survey, email, mail, or Sweepstakes-related correspondence or materials or postage-due mail; any error, omission, interruption, defect or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos, or misprints in these Official Rules, in any Sweepstakes-related advertisements or other materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information. Released Parties are not responsible for electronic communications that are undeliverable or do not reach entrant as a result of any form of active or passive filtering of any kind, or insufficient space in a person’s email account or voice mailbox to receive messages. Released Parties are not responsible, and may disqualify you, if your email address or other contact information does not work or is changed without prior written notice to Sponsor. Without limiting any other provision in these Official Rules, Released Parties are not responsible or liable to any entrant or winner or any person claiming through such entrant or winner for failure to supply the prize or any part thereof in the event that any of the Sweepstakes activities or Released Parties’ operations or activities are affected, as determined by Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any federal, state or local government authority, or any other cause, whether or not specifically mentioned above.
By entering the Sweepstakes (except where prohibited by law), each entrant grants the Released Parties the irrevocable, sublicensable, absolute right and permission to use, publish, post or display his or her name, photograph, likeness, voice, prize information, biographical information, any quotes attributable to him or her, any other indicia of persona, and any information contained in or submitted as part of his or her entry (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Released Parties’ sole discretion) for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind to him or her, anywhere, in any medium now known or hereafter discovered or devised (including, without limitation, on the Internet), world-wide, without any limitation of time, and without notice, review, or approval and each entrant releases all Released Parties from any and all liability related thereto. Nothing contained in these Official Rules obligates Sponsor to make use of any of the rights granted herein and winner waives any right to inspect or approve any such use.
Sponsor’s decisions will be final in all matters relating to this Sweepstakes, including interpretation of these Official Rules, determination of the winners, and awarding of the prizes. All participants, as a condition of entry, agree to be bound by these Official Rules and the decisions of Sponsor. Failure to comply with these Official Rules may result in disqualification from this Sweepstakes. Participants further agree to not damage or cause interruption of the Sweepstakes and/or prevent others from using the Sweepstakes. Sponsor reserves the right to restrict or void surveys, entries or other participation from any IP address, device, or other identifiable source if any suspicious submission(s) and/or participation are detected and to disqualify from this Sweepstakes (and the Promotion) any person(s) Sponsor believe are responsible for or have benefited from such activities. Sponsor reserves the right, in its sole discretion, to void entries of any entrants who Sponsor believes have attempted to tamper with or impair the administration, security, fairness, or proper play of this Sweepstakes. Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and/or these Official Rules (including any alleged discrepancy or inconsistency within these Official Rules), it will be resolved by Sponsor in its sole discretion. Entrants waive any right to claim ambiguity in the Sweepstakes or these Official Rules. If Sponsor determines, at any time and in its sole discretion, that a winner or potential winner is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to disqualify that winner or potential winner, even if the disqualified winner or potential winner may have been notified or displayed or announced anywhere. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If the Sweepstakes is not capable of running as planned for any reason, Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Sweepstakes and award the prize from eligible entries received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Sponsor. If any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law. In the event of a dispute concerning the identity of a participant, the participant will be declared to be the registered account holder of the email address provided at the time of entry, but only if that person meets all other eligibility criteria, otherwise the entry may, in Sponsor’s sole discretion, be disqualified and any potential prize won forfeited. A registered account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Winner may be required to show proof of being the registered account holder. If a dispute cannot be resolved to Sponsor’s satisfaction, in its sole discretion, the entry will be deemed ineligible. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY VIOLATE CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
If a dispute arises between you and one or more of the Released Parties, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. THIS CONTRACT CONTAINS A BINDING ARBITRATION PROVISION, WHICH MAY BE ENFORCED BY THE PARTIES. Accordingly, you agree that we will resolve any dispute, claim, or controversy at law or equity that relates to or arises out of these Official Rules or the Sweepstakes (a "Dispute") in accordance with the subsections below, except for Excluded Disputes as set forth below.
General. You and the Released Parties agree that any Dispute will be settled by binding arbitration; except that either party retains the right to bring an individual action in small claims court. You acknowledge and agree that you and the Released Parties are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and the applicable Released Party otherwise agree, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of any class or representative proceeding. If this specific paragraph is held unenforceable, then the entirety of this "Disputes/Arbitration/Governing Law" section will be deemed void. Notwithstanding the foregoing, each party reserves the right to seek injunctive or other equitable relief in a court of competent jurisdiction with respect to any dispute related to the actual or threatened infringement, misappropriation or violation of a party's intellectual property or proprietary rights (collectively, "Excluded Disputes").
Arbitration Rules, Governing Law, Jurisdiction and Venue. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by these Official Rules. (The AAA Rules are available at http://www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this Section. The Sweepstakes, these Official Rules, and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action taken in a small claims court as contemplated by these Official Rules will be the courts located in Santa Clara County and each of the parties hereto waives any objection to jurisdiction and venue in such courts.
Arbitration Process. A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules (The AAA provides form Demands for Arbitration at www.adr.org). The arbitrator will be either a retired judge or an attorney licensed to practice law in the State of California and will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.
Arbitration Location and Procedure. Unless you and the Released Parties otherwise agree, the arbitration will be conducted in the county where you reside. If your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents you and the Released Parties submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary. If your claim exceeds $10,000, your right to a hearing will be determined by the AAA Rules. Subject to the AAA Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration.
Arbitrator's Decision. The arbitrator will render an award within the time frame specified in the AAA Rules. The arbitrator's decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator's award damages must be consistent with these Official Rules. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant's individual claim. If you prevail in arbitration you will be entitled to an award of attorneys' fees and expenses, to the extent provided under applicable law. The Released Parties will not seek, and hereby waive all rights it may have under applicable law to recover, attorneys' fees and expenses if it prevails in arbitration.
Fees. Your responsibility to pay any AAA filing, administrative and arbitrator fees will be solely as set forth in the AAA Rules. However, if your claim for damages does not exceed $75,000, The Released Parties will pay all such fees unless the arbitrator finds that either the substance of your claim or the relief sought in your Demand for Arbitration was frivolous or was brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)).
Venue. You agree that any action at law or in equity relating to the arbitration provision of these Official Rules or the Excluded Disputes (or in the event that, per the “General” paragraph above, this “Disputes/Arbitration/Governing Law” provision is deemed void) will be filed only in the state or federal courts located in Santa Clara County, California and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.
WINNER’S LIST/OFFICIAL RULES
The name of the winners may be obtained approximately four (4) weeks after the end of the Sweepstakes Period and a copy of these Official Rules may be obtained during the Sweepstakes Period by sending your request (indicate “winner list” or “official rules” and the calendar month in which the Sweepstakes occurred on your request) with a self-addressed stamped envelope to: “The LifeCoach Research Sweepstakes c/o Sweepstakes Manager, 300 Third Street, Suite 2, Los Altos, CA 94022.” Vermont residents may omit a stamp on the return envelope for Official Rules requests. Only one (1) request of either type per outer envelope, mailed separately, will be fulfilled. Requests for Official Rules must be received during the Sweepstakes Period; requests for the winner list must be received no later than six (6) months after the end of the Sweepstakes Period.
